This role is pivotal in executing the TRIMEDX M&A strategy.  Key elements of this role include financial modeling, valuation, pricing negotiation, deal structure, and managing all aspects of the M&A transaction process. The ideal candidate will bring a robust background of applicable M&A experience from prior investment banking, private equity and/or similar corporate M&A positions and will demonstrate the ability to drive strategic decisions and transactions from start to finish.

Location: Candidates must currently reside in the Eastern or Central Time zones with close proximity to a major airport. Position is Hybrid: Remote (work from home) with required business travel (50%).

Responsibilities          

  • Develop and maintain detailed financial models to support M&A evaluations, including financial projections, valuation analysis, and scenario modeling.
  • Lead the due diligence process for potential acquisitions, including managing the data room and analyzing financial, operational, and strategic information.
  • Collaborate with senior management and external advisors to structure deal terms, financing options, and transaction bid strategies.
  • Provide actionable insights and recommendations based on financial analysis and strategic fit of potential deals, supporting decision-making by senior leadership.
  • Prepare and review transaction-related documentation, including Letters of Intent (LOIs), term sheets, definitive agreements, and other contractual agreements.
  • Work with cross-functional teams to support integration planning and execution following closed transactions.
  • Conduct in-depth market research to identify potential acquisition targets, assess industry trends, and evaluate competitive landscapes.
  • Support Board meetings and various activities related to mergers and acquisitions, integrations and corporate financing efforts.
  • Contribute to the development and improvement of M&A processes, tools, and best practices within the corporate development function.
  • Leverage knowledge of financial metrics and how they flow into and impact the major financial statements.
  • Perform strategic financial alternatives analyses through merger consequences, including accretion and dilution, leveraged buyout, discounted cash-flow, sum-of-parts, and public trading and acquisition analysis.
  • Focus on and execute the mergers and acquisition process and interact with senior leaders.
  • Other duties as assigned.
  • Travel 50% plus including domestic and international.

Skills and Experience

  • Strong understanding of financial analysis, including proficiency in financial modeling, valuation methodologies, and financial statement analysis.
  • Understanding of M&A processes, including due diligence, deal structuring, negotiations, and integration.
  • Ability to assess business models and competitive dynamics, identifying strategic fit and potential synergies in potential acquisition targets.
  • Strong organizational skills to manage multiple complex projects, deadlines, and stakeholders throughout the M&A process with a drive to meet deadlines and drive projects to conclusion.
  • Highly proficient in Microsoft Excel and PowerPoint.
  • Excellent verbal and written communication skills, with the ability to prepare clear and concise presentations and communicate effectively with senior leadership.
  • Strong attention to detail in financial analysis, transaction documentation, and due diligence processes to ensure accuracy and completeness.
  • Strong collaboration skills and ability to work effectively with various teams such as finance, legal, HR, compliance, operations, and sales.
  • A drive to learn and apply new concepts quickly in a culture of continuous improvement.
  • Experience with investment banking or corporate development.
  • Experience with merger and acquisition transactions in the healthcare, healthcare services and technology markets.
  • Experience structuring complex problems and delivering insights and recommendations.
  • Experience with financial modeling in Microsoft Excel.
  • Ability to synthesize large amounts of information, identify issues, and recommend solutions proactively.
  • Ability to prioritize work streams appropriately and move among differing tasks quickly.
  • Focus, monitoring and reporting to ensure successful integration of all acquisitions.
  • Actively participate in the development and execution of the strategy of the Company.

Education and Qualifications

  • Bachelor’s Degree in Finance, Accounting, or related fields; an MBA is preferred.
  • At least 10 years of experience.
  • Equivalent experience will be considered.
